Chair Tom McGannon called the meeting to order at 3:00 p.m. Trustees present: Jennifer Banovitz-Bastian, Julie Lyons Bricker, Christopher Bower, Howard Collens, Sharlan Douglas, Alexander Fike, David Guest, Darian Neubecker, Trustees absent: Peter Provenzano. Trustees present constituted a quorum. Guests present: Jon Witz, Jon Witz Associates

Agenda – Motion to approve the agenda: Motion by Fike, seconded by Collens; approved unanimously.
Consent agenda: Motion to approve the consent agenda: Motion by Douglas, seconded by Bricker; approved unanimously.
Guest Jon Witz, Jon Witz Associates discussed Arts, Beats and Eats on 5th, which he proposed the foundation host on 8/21/25, 5:30 to 8:30 p.m.
Motion to approve contract with Nonprofit Spot: Motion by Neubecker, seconded by Peetz; approved unanimously.
Motion to reconsider approval of the consent agenda: Motion by Collens, seconded by Peetz; approved unanimously.
Motion to approve the January minutes and to establish the second Wednesday of each month at 3 p.m. at city hall as the foundation’s meeting schedule. Motion by Collens, seconded by Neubecker; approved unanimously.
